Introduction

Welcome to Your Website. By accessing or using our website, mobile applications, and related services (collectively, the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the “Terms”). These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Your Website (“we,” “us,” or “our”). If you do not agree with any portion of these Terms, you must discontinue use of the Site immediately.

Purpose of These Terms – The purpose of this agreement is to set forth the rights, responsibilities, and obligations that govern your use of the Site. They are designed to protect both our users and our business by establishing clear expectations regarding conduct, content, intellectual property, privacy, and dispute resolution. By providing this framework, we aim to ensure a safe, reliable, and enjoyable experience for everyone who visits or interacts with our platform.

Acceptance of the Agreement – When you create an account, submit content, or simply browse the Site, you are expressly consenting to these Terms and any future modifications we may make, provided we give reasonable notice. Your continued use of the Site after such notice constitutes your acceptance of the revised Terms. It is your responsibility to review the Terms periodically to stay informed of any changes.

User Obligations – As a User, you agree to:

  • Provide accurate, current, and complete information when requested, and promptly update any changes.
  • Use the Site in compliance with all applicable laws, regulations, and third‑party rights.
  • Refrain from engaging in any activity that could damage, disable, overburden, or impair the Site or interfere with any other User’s experience.
  • Respect intellectual property rights by not copying, distributing, or creating derivative works without proper authorization.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use.
  • Abide by any additional rules or policies posted on the Site, including community guidelines, content standards, and privacy notices.

Limitation of Liability – To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Governing Law and Dispute Resolution – These Terms are governed by the laws of the jurisdiction in which Your Website is incorporated, without regard to conflict‑of‑law principles. Any disputes that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by law.

Thank you for choosing Your Website. We appreciate your cooperation in adhering to these Terms, which help us maintain a trustworthy and thriving online community.

Acceptance of Terms

Welcome to Skyveria! By clicking “I Agree,” you’re stepping into a world of limitless possibilities—while also confirming that you understand and accept the legal framework that protects both you and us. This Acceptance of Terms section outlines the binding nature of our agreement, who can legally accept these terms, and the special considerations we observe for minors under United States law.

Binding Nature of the Agreement

When you click “I Agree,” you are entering into a legally enforceable contract with Skyveria. This contract governs your use of our services, platforms, and any content you access or create while on our site. The agreement is binding in the United States and any other jurisdiction where Skyveria operates. By accepting, you acknowledge that you have read, understood, and consent to be bound by all provisions, including any future updates posted on our website.

Your Capacity to Accept

To enter into this agreement, you must have the legal capacity to do so. Specifically, you must:

  • Be at least 18 years of age and a resident of the United States, or
  • Be an individual who has reached the age of majority in your jurisdiction (if older than 18) and is legally capable of entering contracts.

If you are acting on behalf of a business, organization, or other legal entity, you must be an authorized representative with the power to bind that entity to these terms.

Restrictions for Minors

Under U.S. law, minors (individuals under 18) are generally prohibited from entering binding contracts unless certain conditions are met. To protect younger users, Skyveria enforces the following restrictions:

  • No Direct Account Creation: Minors may not create a personal Skyveria account without parental or guardian consent.
  • Parental Consent Required: If a minor wishes to use our services, a parent or legal guardian must review, accept, and be bound by these terms on the minor’s behalf.
  • Limited Data Collection: We only collect the minimal data necessary for compliance with COPPA (Children’s Online Privacy Protection Act) and other applicable privacy statutes.
  • Age-Restricted Content: Certain features, services, or content may be unavailable to users under 18, regardless of parental consent.
  • Termination Rights: Skyveria reserves the right to suspend or terminate any account suspected of being operated by a minor without proper consent.

By clicking “I Agree,” you confirm that you are either:

  • At least 18 years old, or
  • A parent or legal guardian providing consent on behalf of a minor, and you accept full responsibility for the minor’s actions while using Skyveria.

What This Means for You

Accepting these terms is more than a formality—it’s a commitment to a safe, transparent, and mutually respectful online experience. Should any part of this agreement be deemed unenforceable, the remaining provisions will continue to apply. Skyveria may amend these terms at any time, and continued use of our services after such changes constitutes your acceptance of the revised agreement.

Thank you for choosing Skyveria. We’re thrilled to have you on board, and we look forward to delivering an exceptional experience—while keeping everything crystal clear and legally sound.

Governing Law

Governing Law and Dispute Resolution

All rights, obligations, and liabilities arising under or in connection with the Skyveria platform, its services, and any related agreements shall be governed exclusively by the substantive laws of the United States, without regard to conflict‑of‑law principles. The parties expressly consent to the exclusive jurisdiction of the federal and state courts located in the State of California for any actions that are not resolved through the alternative dispute mechanisms set forth below.

Dispute Resolution Process

In the event a dispute arises between Skyveria and a user, customer, partner, or any other party, the parties agree to follow the sequential steps outlined below before seeking judicial relief:

  • Good‑Faith Negotiation: The disputing parties shall first attempt to resolve the matter through direct, good‑faith negotiations. Either party may initiate this stage by delivering a written notice describing the nature of the dispute and the relief sought. Negotiations must commence within ten (10) business days of receipt of such notice and continue for a minimum of fifteen (15) business days, unless the parties reach a mutually acceptable resolution earlier.
  • Mediation: If negotiations fail to produce a settlement, the parties shall submit the dispute to non‑binding mediation administered by a neutral mediator selected from the American Arbitration Association (AAA) or an equivalent reputable organization. The mediation shall be conducted in San Francisco, California, or via a virtual platform mutually agreed upon by the parties. The costs of mediation shall be shared equally, and each party shall bear its own attorneys’ fees.
  • Arbitration: Should mediation not result in a settlement, the dispute shall be finally and bindingly resolved by arbitration under the AAA Commercial Arbitration Rules, as then in effect. The arbitration shall be conducted by a single arbitrator with experience in commercial and technology law, appointed by the AAA unless the parties agree otherwise. The arbitration shall be held in San Francisco, California, and shall be conducted in English. The arbitrator’s award shall be final, conclusive, and enforceable in any court of competent jurisdiction.

Arbitration Procedures

  • Notice of Arbitration: The initiating party shall deliver a written demand for arbitration to the other party, including a concise statement of the claim, the relief sought, and any supporting documentation.
  • Selection of Arbitrator: Within ten (10) business days of receipt of the demand, the parties shall agree on an arbitrator. Failing agreement, the AAA shall appoint an arbitrator in accordance with its rules.
  • Discovery and Evidentiary Rules: The arbitrator may allow limited discovery consistent with the efficiency goals of arbitration, and shall apply the Federal Rules of Evidence unless otherwise ordered.
  • Confidentiality: All arbitration proceedings, including filings, hearings, and the award, shall be confidential and may not be disclosed except as required by law or for enforcement purposes.
  • Award Enforcement: The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

By using Skyveria’s services, you acknowledge that you have read, understood, and agree to be bound by this Governing Law and Dispute Resolution provision.
